Many concerned about proposed SCD bylaw changes

There is a very serious threat to:

1) the continuing cooperative relationship between the Davis Senior Center and its primary support organization, the Senior Citizens of Davis (SCD), a 501(c)(3) nonprofit corporation;

2) the financial security of the SCD organization itself; and

3) the voice of the SCD membership.

All of these as a result of new proposed SCD bylaws approved by the SCD Board of Directors, but not yet voted upon by the SCD membership.

We, the undersigned members of SCD, have the following grave concerns among many other worries, about the new proposed SCD bylaws:

* The elimination of the finance and budget director and other independent protective mechanisms over SCD assets ($560,000), investments and financial transactions;

* An extreme shift of power, away from SCD members to the SCD president and board;

* No mention of the Davis Senior Center is made in the new proposed bylaws. The primary place of business should remain at the Davis Senior Center; and the Davis Senior Center should continue to be the beneficiary of any SCD funds remaining upon the dissolution of SCD.

When “membership” dues are paid at the Davis Senior Center, the dues do not go to the Davis Senior Center. Membership is not required to participate in any of the activities at the Davis Senior Center. Payment of any “membership” dues goes directly to SCD (which makes the person who paid the dues a voting member of SCD). The same is true of various donations made at the Davis Senior Center, many of which go directly to SCD. Why is that important? Because the SCD board controls the use of that money.

What can you do? We strongly encourage all SCD members to do any or all of the following:

* Attend either or both of the informational town hall meetings being held on this issue — at the Davis Senior Center, on July 24 at 9 a.m., and on Aug. 4 at 9 a.m.

* Attend the SCD business meeting scheduled for Aug. 14 at 10:45 a.m., prior to the LuWOW luncheon, expressly called for the purpose of having SCD members vote on the new proposed SCD bylaws. Purchase of LuWOW tickets is not required to attend the SCD business meeting.

We strongly encourage a “no” vote on whether to approve the new proposed SCD bylaws or not. Protect our Davis senior citizens!
